Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "user") and Global Commerz, trading as Invollo (registered under Trade License ID   in Chattogram, Bangladesh) ("we", "us", or "our"), concerning your access to and use of the Invollo website (invollo.com) as well as any other media form, mobile application, desktop tracking application, browser extension, or related software channels (collectively, the "Service").

By accessing the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and must discontinue use immediately.

2. User Accounts & Security

To use specific features like time tracking sync, quote signatures, and invoice routing, you must create a secure user account. You agree to provide true, accurate, and current profile info and are responsible for maintaining the confidentiality of your account credentials.

You must immediately notify us of any unauthorized use of your credentials or breach of workspace security. We are not liable for losses caused by unauthorized access to your account due to your failure to secure your passwords, API keys, or system credentials.

3. Billing, Stripe & bKash

Invollo offers both free tier and paid premium subscriptions. Subscription fees are billed in advance on a recurring monthly or annual basis.

4. Digital Quotes & Signatures

Invollo provides a digital quotation utility allowing freelancers and agencies to submit proposals that clients can electronically sign. You acknowledge and agree that:

• Electronic signatures captured via Invollo are intended to satisfy standard legal electronic signature frameworks, including the US Electronic Signatures in Global and National Commerce (ESIGN) Act, the Uniform Electronic Transactions Act (UETA), the UK Electronic Communications Act 2000, the EU eIDAS Regulations, and the Bangladesh ICT Act 2006.
• Once a client clicks "Approve & Accept" and records their digital signature, it establishes a binding contractual relationship between the sender and the client. Invollo is not a party to, nor holds liability under, any agreement signed via the Service.
• We record and store metadata including the signing IP address, browser footprint, and timestamp as a tamper-evident audit record to verify the signature's authenticity.

5. Invollo AI

Invollo includes an optional AI assistant (Invollo AI) that provides answers, summaries, and drafts based on your workspace data. Invollo AI is managed by Invollo and operates on monthly AI credits included with your plan. By using Invollo AI, you agree:

• Terms and Activation: A workspace owner or administrator must accept the Invollo AI Terms in Settings before Invollo AI is enabled. Each team member must also accept the terms prior to their first query.
• Data Processing & Providers: To answer queries, limited workspace data required for the request is processed by AI services (such as OpenRouter, Google Gemini, Z.AI, or Anthropic). None of these providers use your workspace data to train their models.
• Drafts and Confirmation: Invollo AI generates text drafts and summaries only. It never sends messages, modifies records, or initiates payments on its own. You always review drafts and copy them yourself.
• Accuracy of AI Drafts: AI outputs are probabilistic and may contain errors. You are responsible for auditing and verifying all AI-generated drafts, calculations, and summaries before relying on or sending them. Invollo disclaims liability for decisions made or messages sent based on AI output.

6. SMTP & Email Policies

To ensure reliable invoice delivery and maintain IP reputation, outbound transactional and follow-up emails are routed through Resend, Brevo, and Titan SMTP servers. In using these services, you agree to comply with the following email sending policies:

7. Acceptable Use Rules

You may not use the Service for any unlawful or unauthorized purpose. Specifically, you agree not to:

• Attempt to reverse engineer, decompile, or copy the Invollo Desktop Time Tracker source code or Chrome extension assets.
• Use automated web scraping spiders or crawl bots to extract client portal data, invoices, or pricing tables.
• Upload or transmit virus payloads, malware, or exploit scripts through invoice PDF attachments or quotation file uploads.
• Circumvent subscription tier checks or modify client time records in bad faith to alter invoice calculations.

8. Disclaimers & Governing Law

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL INVOLLO OR GLOBAL COMMERZ BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR DATA LOSS ARISING FROM YOUR USE OF THE TIME TRACKER, AI ASSISTANT, OR PAYMENT PORTALS.

These Terms of Service and your use of the Service are governed by and construed in accordance with the laws of Bangladesh. Any legal action arising under these terms shall be subject to the exclusive jurisdiction of the courts of Chattogram, Bangladesh.
